CONSTITUTION
UTAH RETIRED SCHOOL EMPLOYEES ASSOCIATION
ARTICLE I - MEMBERSHIP
Section 1. Active Membership. Active membership in the Utah Retired School Employees Association shall be open to anyone who has retired from employment in any of the schools of the nation and who has a desire to accomplish the purposes of the Association. A person shall, upon the payment of dues as established in the Bylaws, assume full rights of membership for their self and their spouse.
ARTICLE II - MEETING OF THE MEMBERSHIP
Section 1. Annual Meeting. The membership shall meet annually, at such time and place as may be determined by the members of the Board, to conduct such business as may come before it.
Section 2. Quorum. A minimum of twenty members shall constitute a quorum to conduct business at any regular or special meeting of the Association provided that every member has been notified of such meeting.
ARTICLE III - EXECUTIVE BOARD
Section 1. Board Members. The Executive Board shall be composed of the elected officers, the appointed members, and the state coordinator of the National Retired Teachers Association Division of AARP.
Section 2. Requirements. The members of the Board shall be duly elected or appointed to their positions as described in the Constitution and Bylaws. They shall be members in good standing in a local unit and the state association.
Section 3. Duties and Authority. The affairs and business of the Association shall be managed and conducted by the Board. The Board shall establish all policies, approve the appointment of all non-elected officers and committee chairpersons. The Board shall approve all appointments to fill vacancies that may exist in any office, appointed or elected. The Board has the authority to remove from office anyone, elected or appointed who, in the opinion of the Board, has failed in his duties or is causing irreparable harm to the Association. The Board shall establish financial policies to give direction for the administration of the Association’s funds, shall approve the annual budget, shall approve all expenditures not covered in the budget, and shall require an annual internal audit. The Board shall approve all programs, activities, and policies of the Association. The Board shall have the authority to amend the Bylaws.
Section 4. Meetinqs. The Executive Board shall meet at least six times a year at the call of the president.
Section 5. Quorum. A simple majority of the membership of the Board shall constitute a quorum for the purpose of conducting business for the Association.
ARTICLE IV- OFFICERS AND DUTIES
Section 1. Elected Officers. The elected officers of the URSEA shall be a president, a president elect, the most immediate past president, and a treasurer. They shall perform such duties as are stated in the Bylaws.
Section 2. Appointed Board Members. The appointed Board members of the Association shall be an executive director, secretary the editor of the Associations publication, a historian, and all standing committee chairpersons. They shall perform such duties as are stated in the Bylaws. They shall be appointed by the President and approved by the Board.
ARTICLE V - ELECTIONS
Section 1. Election of Officers. The president elect shall be elected in the odd-numbered years and shall serve a term of two years at which time they will succeed to the position of president. The treasurer shall be elected in the even-numbered years and shall serve a term of two years. Any officer may be nominated for additional terms. Ballots may be distributed by mail to the members and a majority of ballots returned shall constitute election.
ARTICLE VI- AMEMDMENTS
Section 1. Procedure. his constitution may be amended or ratified by a two-thirds affirmative vote of members present at the annual meeting of the membership, provided that the amendment has been approved by the Board of Trustees, and that a one-month notice has been given in the Association’s publication.
